The proposed changes will help to protect the club’s identity and integrity as a members’ organisation while enabling recruitment of Non-Executive Directors with the appropriate skills and experience.
It is important to the Club and, we believe, to our members that we remain a vibrant and relevant members’ organisation embedded in Nottinghamshire and with influence across the county. We want to be a sustainable members’ organisation, here for future generations. In our new strategy, we will reaffirm our commitment to remaining a members’ club, anchored in the heart of our communities and bringing economic and social benefits to our county. We therefore believe now is the time to work with our members to modernise our governance, and to secure our future.
The Rule changes being proposed will enable the conversion of our current General Committee to a Board, which:
· will be populated by individuals with the required aptitude, skills and experience to support effective decision making and accountability
· enhances shared leadership responsibility with the addition of the Chief Executive to the board
· better reflects the diversity of the population that the club serves
· meets the requirements of the club’s regulator and UK Sports Code of Governance
· continues to be underpinned by the existing sub-committee structure, which includes sub-committees devoted to Cricket; Finance Audit & Risk; Ground Development; Organisational Development and Remuneration (no changes are proposed)
To enhance our governance we want to give our members a stronger voice by creating a new Members’ Committee, which will be a formal part of our governance structure with direct links to our board.
The Members’ Committee would promote and represent the interests of the membership, ensuring their views are considered by the Board. This body would be predominantly advisory in nature but could hold decision-making authority in specific areas. We welcome the involvement of members in designing the terms of reference for our Members’ Committee. Under the proposed changes members will retain rights to submit AGM resolutions and call EGMs. The new Members’ Committee would act as an additional governance mechanism; and Members will continue to elect two Directors to the Board.
